• How To Participate; Entry Period.  Flats or Spikes, Inc, Inc. (“we” or “Sponsor”) is sponsoring a Running Expertise Giveaway! (the “Sweepstakes”), which begins at 12:00 AM on Wednesday, March, 1st 2023, and ends at 11:59 PM on Sunday, December 31st, 2023 (Central Time). This is the “Entry Period”). By participating in the Sweepstakes all Entrants (defined below) agree to these rules (the “Official Rules”). The Sponsor will conduct the Sweepstakes substantially as described in these Rules. You may enter the Sweepstakes by going to this link. The Sweepstakes is subject to federal, state, and local laws and regulations. Void where prohibited. All information detailing how to enter this competition forms part of these terms and conditions. Sponsor is responsible for the collection, submission or processing of entries and the overall administration of the Sweepstakes. Entrants should contact Sponsor with any questions, comments or problems related to the Sweepstakes.

• Eligibility.

  • The Sweepstakes is open to natural persons who are legal residents of the United States, the District of Columbia, its territories, and Canada, who are aged 18 years or older, excluding employees, service providers, contractors of the Sponsor Parties and their family members, or anyone else associated with this Sweepstakes or the Sponsor or the Sponsor Parties (“Entrants”).  You may not enter if you are under the age of 18.

  • Neither Sponsor nor its affiliates and their respective employees, contractors, agents, directors, attorneys, advisors of each (“Sponsor Parties”) assume any responsibility for late, lost, illegible, or misdirected entries.  By participating, you agree to these terms, and that Sponsor’s decisions with respect to the Sweepstakes are final and binding. 

• Entry Generally. During the Entry Period, Entrants will be permitted to enter the Sweepstakes by entering from Flats or Spikes website by completing requirements stated on the sweepstakes webpage: Entries using any software or automated process to make bulk entries will be disqualified.

• Limitations on Entries. Entrants may not enter more than one (1) time. Entrants may not win more than one (1) prize.

• Prize Drawing; Prizes.

  • Every full month during the of the Entry Period, one (1) First Prize winner will be selected automatically in one (1) drawing. The winner will be drawn randomly.  We will award the winners with the following prizes:

    • Drawing #1: One (1) First Prize Winner: $50 Gift Card from your listed local running shop / store.

  • ​Sponsor reserves the right, in its sole and absolute discretion, to award a different prize of equal or greater value.  The odds of winning depend on the number of entries.  We will notify winner by email.  By entering, you agree to be contacted by us regarding the Sweepstakes. You must respond to our notification within seven (7) days.  If you do not respond in the time indicated, we reserve the right to select a different winner for that Sweepstakes from the pool of non-winning Entrants.  Sponsor shall have no liability for the winner’s failure to receive notices due to spam, junk e-mail or other security settings or for the winner’s provision of incorrect or otherwise non-functioning contact information. Each winner may be required to sign and return an Affidavit of Eligibility, Liability Release and, where lawful, a Publicity Release, including Social Security Number or Taxpayer Identification Number for tax reporting, as we may request, or the prize may be forfeited. All Prizes are “AS IS,” “AS AVAILABLE,” and without warranty of any kind, express or implied, including without limitation any implied warranty of merchantability or fitness for a particular purpose. All federal, state and local taxes and duties with respect to the Prizes are the winner’s responsibility.  A Prize may not be transferred, substituted, or redeemed for cash, except that Sponsor may substitute a Prize of equal or greater value, in Sponsor’s sole and absolute discretion.

• Flats or Spikes Hosting. The Sweepstakes is being hosted on the Flats or Spikes website using an embedded form.  You will be entering your information on the Flats or Spikes website.  You may review Flats or Spikes Privacy Policy at https://www.flatsorspikes.com/privacy and our Terms of Use at https://www.flatsorspikes.com/terms. By entering this Sweepstakes, you agree to these Official Rules, Flats or Spikes’ Privacy Policy, and Flats or Spikes’ Terms of Use.

• Privacy: Any personal information supplied by you will be subject to the privacy policy of the Flats or Spikes posted at https://www.flatsorspikes.com/privacy. You will automatically be enrolled in the Sponsor’s e-mail marketing campaigns, which you will have the option to opt-out of.

• Publicity. If you win, we may post your name (or user name) on our website and you hereby give us permission to do so and you agree, where lawful, that we may use your name, voice, likeness, biographical information, entry, statements attributed to winner (if true) or city of residence, for publication, advertising and promotional purposes without additional consideration.

• Release and Limitation of Liability.

  • By participating in the Sweepstakes, Entrants agree to release and hold harmless the Sponsor, Sponsor Parties, and other companies and firms associated with the Sweepstakes, and each of their respective officers, directors, employees, shareholders, directors, attorneys, representatives, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of a Prize(s) (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Sweepstakes, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Sweepstakes; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) any other errors or problems in connection with the Sweepstakes, including, without limitation, errors that may occur in the administration of the Sweepstakes, the announcement of the winner, the cancellation or postponement of the event, or in any Sweepstakes-related materials; or (e) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrants participation in the Sweepstakes or acceptance, receipt or misuse of the Prize(s) (including any travel or activity related thereto). Entrant further agrees that in any cause of action, the Released Parties liability will be limited to the cost of participating in the Sweepstakes, and in no event shall the entrant be entitled to receive attorney's fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, liquidated, or indirect damages.

  • BY PARTICIPATING IN THE SWEEPSTAKES, YOU AGREE THAT EACH OF SPONSOR PARTIES, FACEBOOK, TWITTER, GOOGLE, INSTAGRAM, OR DISCORD, AND ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, ATTORNEYS, AND AGENTS, WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY, YOU FOR ANY AND ALL LIABILITY FOR ANY INJURY, LOSS, OR DAMAGE OF ANY KIND TO PERSONS DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE PARTICIPATION IN THIS SWEEPSTAKES, THE PRIZES AWARDED, OR PARTICIPATION IN ANY PROMOTION-RELATED ACTIVITY. SPONSOR PARTIES DISCLAIM ALL WARRANTIES AND YOU WAIVE ALL WARRANTIES, EXPRESS OR IMPLIED.

  • Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the process or the operation of this Sweepstakes or to be acting in violation of these rules or any other promotion, in bad faith, or in an unsportsmanlike or disruptive manner.  By sharing any email address of any person, you represent that you have the full legal right to provide that email address and that use of the email address by the Sponsor and all other persons and entities will not violate any law, statute, ordinance, regulation or any other right of any person, including privacy rights.

• Administration.

  • We reserve the right in our sole discretion to cancel or modify this Sweepstakes.  Entries will be deemed to be submitted by the natural person acting as the authorized account holder.  Incomplete entries are void.  Anyone who provides false information, including any false or duplicative email addresses, may be disqualified or discounted.  We are not responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures or any telephone network, computer equipment, software, inability to access any website or on-line service, or any other error or malfunction, or late, lost, incomplete, illegible or misdirected entries.  If we determine, in our sole discretion, that there is any suspected or actual tampering with the Sweepstakes or if technical difficulties compromise the integrity of the Sweepstakes, we reserve the right to void the entries at issue and/or terminate or modify the Sweepstakes and/or conduct a random drawing to award any prizes using all eligible entries received as of the termination date.  Any attempt to deliberately damage the content or operation of this Sweepstakes is unlawful and subject to legal action.  We are not responsible for any computer or human error which compromises the administration or proper play of the Sweepstakes.  All federal, state and local laws and regulations apply.  Void where prohibited or restricted by law.

  • Automated or robotic entries submitted by individuals or organizations will be disqualified. Internet entry must be made by the Entrant. Any attempt by Entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void Entrant's entries and that Entrant may be disqualified.

• Dispute.  Each entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Champaign, Illinois. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrants rights and obligations, or the rights and obligations of the Sponsor or Sponsor Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Illinois, without giving effect to any choice of law or conflict of law rules. Any dispute shall be handled by arbitration administered by the American Arbitration Association and will take place in Champaign, Illinois.  The remedy for any claim concerning this Sweepstakes or any prize is limited to actual damages.  In no event shall any party be entitled to punitive, exemplary, consequential or incidental damages, or attorney’s fees or other costs in any dispute arising out of or related to the Sweepstakes or any Prize.

• Entire Agreement.  This agreement and any Affidavit of Eligibility, Liability Release and Publicity Release, serve as an agreement with Sponsor and reflect the entire understanding between you and Sponsor concerning the Sweepstakes and the subject matter hereof.  The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provisions, which will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.  Our failure to enforce any term will not constitute a breach of these terms, nor a waiver of that term or any other term.

• List of Winners.  The list of winners will be posted on the Sponsor’s website.

• Sponsored by Flats or Spikes, Inc.  The Sweepstakes is sponsored solely by Flats or Spikes, Inc., 1902 Fox Drive Suite 3, Champaign, IL, 61820, and is in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter, Instagram, Discord, or Google. You may request a list of winners by sending a letter requesting same to the Sponsor’s address listed in this Section.
